TRANSPAMANAGER PLATFORM TERMS AND CONDITIONS OF USE

1. ACCEPTANCE OF TERMS

These Terms and Conditions of Use (hereinafter the "Terms") govern access to and use of the "Transpamanager" digital platform, accessible via the website and dedicated mobile applications (collectively referred to as the "Platform"), operated by Transpamanager Inc., a corporation legally constituted under the laws of the province of Quebec, Canada (hereinafter "Transpamanager Inc.", "we", "us", or "our").

By creating an account, accessing the Platform, or using our services, you (hereinafter the "User", "you", or "your") acknowledge that you have read, understood, and agreed to be bound unreservedly by these Terms, as well as by our Privacy Policy.

If you are using the Platform on behalf of an entity (institution, association, NGO, company), you represent and warrant that you have the necessary authority to bind that entity to these Terms.

2. KEY DEFINITIONS

For the proper understanding of these Terms:

  • Organizer: Any individual or legal entity that creates an account on Transpamanager to initiate, administer, and manage projects.

  • Community and Charity Project: A project intended for the public, capable of being the subject of fundraising (donations), and requiring a transparency obligation via public updates.

  • Private Project: A project managed internally via the Back-end, without public display by default and without donation collection functionality.

  • Collaborator: A person invited by an Organizer to access the Back-end of one or more specific projects, with access rights defined by the Organizer.

  • Contributor / Donor: A member of the public who makes a financial donation to a Community and Charity Project via the Platform.

  • Back-end: The private administration interface accessible to Organizers and Collaborators for managing projects, documents, and activity tracking.

  • Front-end: The public interface of the Platform where Community and Charity Projects are displayed and where the public can interact (make a donation, read updates).

3. REGISTRATION AND ACCOUNT SECURITY

3.1. Account Creation

To become an Organizer, you must create an account by providing accurate, complete, and up-to-date information.

  • Individual Accounts: Require truthful personal information.

  • Institutional Accounts: Require legal information about the entity (legal name, address, mission, etc.).

Transpamanager Inc. reserves the right to verify this information and to refuse or suspend an account in the event of false or incomplete data.

3.2. Security and Authentication

You are responsible for maintaining the confidentiality of your login credentials. Transpamanager implements high-security measures, including two-factor authentication (2FA), which you agree to use. You are responsible for all activities that occur under your account. Any unauthorized use must be reported to us immediately.

3.3. Management of Collaborators

As an Organizer, you are responsible for the access you grant to your Collaborators. You acknowledge that their actions in the Back-end (modifications, additions of data) are tracked nominatively and engage your responsibility as the project manager.

4. DESCRIPTION OF SERVICES AND USE

Transpamanager provides a Platform enabling transparent project management via Back-end tools (document management, activity tracking, progression grids) and, for Community and Charity Projects, Front-end tools (donation collection, publication of updates and reports).

4.1. Fair Use

You commit to using the Platform for legal, ethical purposes consistent with its mission of transparency. It is prohibited to use the Platform to:

  • Promote illegal, fraudulent, or hateful activities.

  • Publish defamatory, obscene content or content infringing on third-party rights.

  • Attempt to compromise the technical security of the Platform.

4.2. Transparency Obligation (Community Projects)

If you organize a Community and Charity Project collecting funds on the Platform, you have a contractual obligation to maintain active transparency towards Contributors. This involves:

  • Regular publication of updates on the project's progress status.

  • Submission of milestone and/or final reports via the provided tools.

  • Accuracy of information entered into progress grids, which generate visual progress indicators for the public.

5. SPECIFIC CONDITIONS FOR FUNDRAISING

5.1. Role of Transpamanager Inc.

Transpamanager Inc. acts as an intermediary technical service provider supplying the donation collection tool. We are neither a bank, nor a charity, nor a guarantor of the success or legitimacy of hosted projects.

5.2. Organizer's Responsibilities

The Organizer is solely responsible for the use of collected funds, which must align with the declared objectives of the project. The Organizer commits to complying with all tax laws and regulations applicable to fundraising in their jurisdiction.

5.3. Processing of Donations

Donations are processed via secure third-party payment service providers. Contributors automatically receive a transaction receipt from Transpamanager confirming the donation to the specific project.

6. PRICING, SUBSCRIPTIONS, AND TRANSACTION FEES

Use of Transpamanager is subject to a pricing structure combining monthly subscriptions and transaction fees on received donations. These rates apply indifferently to both individual and institutional organizers.

Note: Prices are indicated in USD dollars.

6.2. Payment of Fees

  • Transaction Fees: These are deducted automatically and immediately from the gross amount of each donation received before the funds are transferred to the Organizer.

  • Subscriptions: These are payable in advance, on a monthly or annual basis (depending on the option chosen during subscription). Renewal is automatic unless terminated before the expiry date.

6.3. Special Rates and Zones

Transpamanager Inc. reserves the right to temporarily apply promotional or special rates for certain geographic zones or countries, at its sole discretion.

7. INTELLECTUAL PROPERTY AND USER CONTENT

7.1. Transpamanager Ownership

The Platform, its source code, design, logo, and functionality are the exclusive property of Transpamanager Inc. and are protected by intellectual property laws.

7.2. Your Content

You retain ownership of all content (texts, documents, images, videos) that you upload to the Platform ("User Content").

7.3. License to Use

By publishing User Content (particularly in the context of public Community Projects), you grant Transpamanager Inc. a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute this content strictly within the framework of the Platform's operation.

7.4. Warranties on Content

You warrant that you hold all necessary rights to the User Content you publish, including copyrights and image rights of individuals depicted in photos or videos within updates.

8. TERMINATION AND DATA RETENTION

8.1. Termination by the User

You may terminate your subscription at any time via your Back-end. Termination will take effect at the end of the current billing period.

8.2. Consequences of Subscription Expiration

If your paid subscription (Silver, Gold, Platinum) expires and is not renewed:

A) Impact on Community and Charity Projects:

  • Your account automatically switches to the Initial Plan (Free).

  • Only your projects that are currently fundraising or have previously collected funds remain visible to the public.

  • Your management capabilities are restricted to the limits of the Initial Plan. You will no longer be able to publish new updates, reports, or newsletters for inactive projects, nor add new documents or activity tracking entries.

B) Impact on Private Projects and Data Retention:

  • Your access to Private Projects becomes limited to "read-only mode". You can no longer add documents or perform activity tracking.

  • You have a grace period of fifteen (15) months following the expiration date to consult and retrieve your data via the Back-end.

  • Alerts will be sent to you (at 12 months, 14 months, 14 months and 15 days, and 14 months and 27 days) to remind you to back up your data.

  • After this 15-month period elapses, Transpamanager Inc. will proceed with the permanent deletion of your Private Project data from its servers.

8.3. Termination by Transpamanager Inc.

We reserve the right to suspend or terminate your account immediately in the event of a serious breach of these Terms, particularly in cases of fraudulent activity, failure to respect the transparency obligation, or behavior harmful to the community.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law in Quebec:

Transpamanager Inc. provides the Platform on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or virus-free.

Transpamanager Inc., its officers, employees, and affiliates shall not be held liable for any indirect, incidental, special, or consequential damages, including, but not limited to, loss of profits, data, or reputation, arising from:

  • Your use or inability to use the Platform.

  • The conduct or content of any third party on the Platform.

  • Unauthorized access, use, or alteration of your transmissions or content.

  • Failure to achieve project objectives or the use of funds by an Organizer.

10. MODIFICATIONS TO TERMS

Transpamanager Inc. reserves the right to modify these Terms at any time, including the pricing structure. Substantial changes will be notified to you by email or via a prominent notification on the Platform before they become effective. Your continued use of the Platform after these changes constitutes your acceptance of the new Terms.

11. GOVERNING LAW AND JURISDICTION

These Terms are governed by and interpreted in accordance with the laws of the province of Quebec and the federal laws of Canada applicable therein. Any dispute arising hereto shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Quebec City, province of Quebec, Canada.
